M&A

A core focus is the provision of strategic and practical advice to our clients on M&A. We are highly experienced in both public and private M&A (buy side and sell side), including in highly regulated public markets such as the UK.

Buy-Side

We work with clients on one-off assignments and also on ongoing programmes of acquisitions, and always seek to build long-term client relationships. Our work typically encapsulates a full range of advice, including:

  • target selection and approach
  • advising on negotiations
  • financial analysis
  • assisting in formulating and executing appropriate financing strategies, often in the form of structured financing

In providing buy-side advice, we focus on generating the right balance of price discipline and of process delivery to optimise our clients’ chances of success at any given price level. We have worked on a repeated basis with a significant number of our clients and find that such recurring interaction reinforces the benefits of our advice.

Our sectoral expertise is often an important element of our value add.

Sell side

Our clients use us to advise on and execute the divestiture of divisions and the sale of the whole of their business.

In such assignments, we can bring to bear a full range of capabilities:

  • strategic advice as to the desirability/feasibility of a sale
  • valuation advice as to the range of possible outcomes
  • structuring advice, for example on what to include within the sale and/or a sale of the parts versus the whole
  • process advice, typically focusing on how narrow or broad the process should be, whether/how to run a financing and/or private equity process in tandem, and how to maximise deliverability and price through competitive  tension or other means

As well as delivering the right advice, we also seek, where possible, to minimise the burden of the process on management and hence its impact on the performance of the business.

We have extensive experience of public market advisory assignments, in particular in the UK, where we have advised on a number of public to privates.

Torch Partners Corporate Finance Incorporated (“TPCFI” or “Firm”) has developed a Business Continuity Plan on how we will respond to events that significantly disrupt our business. Since the timing and impact of disasters and disruptions is unpredictable, we will have to be flexible in responding to actual events as they occur. With that in mind, we are providing you with this information on our business continuity plan.

Contacting Us – If after a significant business disruption you cannot contact us as you usually do, you should call our alternative number +44207 227 8830 or go to our website at www.torchpartners.com. If all traditional means of communication are unavailable, the Firm will post (if at all possible) emergency contact information and instructions on its web site www.torchpartners.com regarding access to the Firm’s representatives.

Our Business Continuity Plan – We plan to quickly recover and resume business operations after a significant business disruption and respond by safeguarding our employees and property, making a financial and operational assessment, protecting the Firm’s books and records, and allowing our customers to transact business. In short, our business continuity plan is designed to permit our Firm to resume operations as quickly as possible, given the scope and severity of the significant business disruption.

Our business continuity plan addresses: data backup and recovery; all mission critical systems; financial and operational assessments; alternative communications with customers, employees, and regulators; alternate physical location of employees; critical supplier, contractor, bank and counter-party impact and regulatory reporting.

Varying Disruptions – Significant business disruptions can vary in their scope, such as only our Firm, a single building housing our Firm, the business district where our Firm is located, the city where we are located, or the whole region. Within each of these areas, the severity of the disruption can also vary from minimal to severe. In a disruption to only our Firm or a building housing our Firm, we will transfer our operations to a local site when needed and expect to recover and resume business within 24 hours. In a disruption affecting our business district, city, or region, we will transfer our operations to a site outside of the affected area, and recover and resume business within 48-72 hours. In either situation, we plan to continue in business and notify you by the nearest means available on how to contact us.
